Terms of Service

This Terms of Service (the "Agreement") is between you and The Green Room ("we," "us"), operator of the member platform at thegreenroomspeakers.com (the "Service"). By creating an account, signing in, or connecting a third-party service to your account, you agree to the terms below.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own internal business and personal use, in accordance with this Agreement. The Service is licensed, not sold. We retain all rights not expressly granted here.

You are responsible for the activity on your account. Keep your password private. Tell us promptly if you believe your account has been used without your permission. We may suspend or close an account that is being used to break this Agreement or harm other members.

4. Third-party integrations, including QuickBooks Online

The Service can connect to third-party services on your behalf, including (without limitation) QuickBooks Online, Stripe, Google, Zoom, and Dropbox. When you authorize a connection, you authorize us to send and receive data on your behalf with that service, for the limited purposes described in our Privacy Policy and in the connection prompt at the moment of authorization.

Each third-party service is governed by its own terms. We are not responsible for the content, behavior, or availability of those services, and a third-party outage or change can affect the features of the Service that depend on it.

You can disconnect any integration at any time from Settings → Connected accounts. Disconnecting revokes the relevant token with the third-party provider on a best-effort basis and stops further data exchange.

5. Your content

You keep ownership of the content you upload — recordings, notes, documents, contacts, invoices, and similar. You grant us a limited license to store, transmit, transcode, index, and display that content solely to operate the Service for you and the people you have explicitly shared it with.

6. Fees

Membership in The Green Room is offered on the terms communicated to you separately. Fees, where applicable, are described at the point of purchase. Fees are non-refundable except where required by law or expressly stated otherwise.

7. Termination

You may stop using the Service and ask us to close your account at any time by contacting us at the address below. We may suspend or terminate your access if you materially breach this Agreement, if required by law, or if continued operation creates undue risk to the Service or its members. On termination, the license in section 1 ends; the sections that by their nature should survive (ownership, disclaimers, limitations, governing law) will survive.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that connected third-party services will perform as expected.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability under or in connection with this Agreement will not exceed the greater of the amount you paid us in the twelve months before the event giving rise to the claim, or CAD $100.

10. Changes

We may update this Agreement from time to time. When we do, we will update the "last updated" date above. Material changes will be communicated through the Service or by email. Continued use after the changes take effect means you accept the updated Agreement.

11. Governing law

This Agreement is governed by the laws of the Province of Alberta, Canada, without regard to its conflict-of-laws rules. The courts located in Alberta will have exclusive jurisdiction over any dispute arising under this Agreement, except where mandatory consumer-protection law of your home jurisdiction applies.
